This Independent Contractor Agreement (“Agreement”) is entered into between Favor On-Demand LLC (“Favor On-Demand,” “Platform,” “we,” or “us”) and the individual registering as a Helper (“Helper,” “Contractor,” or “you”).

By registering as a Helper and using the Favor On-Demand platform, you agree to the terms of this Agreement.

The Helper is an independent contractor and not an employee, agent, partner, or representative of Favor On-Demand.

Nothing in this Agreement shall be interpreted as creating an employer-employee relationship.

The Helper is solely responsible for:

• Paying all applicable federal, state, and local taxes
• Providing their own transportation
• Supplying any tools or equipment required to perform tasks
• Complying with all applicable laws and regulations
• Maintaining any insurance required for the services they provide

Helpers acknowledge that they are operating an independent business and are responsible for their own work methods and schedule.

Helpers have full discretion over:

• Whether to accept or decline tasks
• When they are available to perform tasks
• How they complete services for Requesters

Favor On-Demand does not supervise, direct, or control the manner in which services are performed.

Favor On-Demand does not guarantee:

• Minimum hours
• A set schedule
• A minimum number of tasks
• Any specific earnings

Helpers are free to accept or decline tasks offered through the platform.

Requesters may set the price for a task through the platform.

Favor On-Demand may charge a platform service fee for facilitating transactions between Requesters and Helpers.

Payments are processed through third-party payment providers such as Stripe.

Favor On-Demand is not responsible for payment disputes between users but may assist in resolving issues when appropriate.

Favor On-Demand allows Requesters to cancel a request when necessary.

Requesters may cancel a request at any time before a Helper accepts the task.

No cancellation fee will apply.

If a request is cancelled within 5 minutes after a Helper accepts the task, no cancellation fee will apply.

If a request is cancelled more than 5 minutes after acceptance, a cancellation fee of up to $10 may apply.

If the Helper has already started traveling to the task location, a cancellation fee of up to $15 may apply.

If no Helper accepts a request, the request may automatically expire after a certain period of time.

Favor On-Demand reserves the right to modify this policy at any time.

To activate a Helper profile, the Helper may be required to complete a background check through a third-party provider such as Checkr.

Completion of a background check does not guarantee approval to use the platform.

Favor On-Demand reserves the right to deny or deactivate access based on safety considerations.

If the Helper provides services that require professional licensing or permits, the Helper certifies that they:

• Possess all required licenses or certifications
• Maintain compliance with applicable laws and regulations
• Will provide proof of licensing upon request

The Helper agrees to hold Favor On-Demand harmless from any legal issues arising from licensing or regulatory compliance.

Helpers agree to conduct themselves professionally when using the platform.

Helpers agree to:

• Communicate respectfully with Requesters
• Follow Favor On-Demand safety guidelines
• Complete accepted tasks in good faith
• Avoid illegal or unsafe activities
• Maintain accurate profile information

Favor On-Demand reserves the right to remove users who violate platform standards.

Helpers are responsible for obtaining and maintaining any insurance required to perform their services.

Favor On-Demand does not provide liability insurance for services performed by Helpers.

Helpers agree that they perform services at their own risk.

Favor On-Demand may suspend or deactivate a Helper account at any time for reasons including but not limited to:

• Safety concerns
• Fraudulent behavior
• Misrepresentation of qualifications
• Repeated cancellations or poor performance
• Violations of platform policies

Helpers may also discontinue use of the platform at any time.

Favor On-Demand provides a technology platform that connects Requesters and Helpers.

Favor On-Demand is not responsible for:

• The quality of services performed by Helpers
• Disputes between Requesters and Helpers
• Any damages arising from tasks arranged through the platform

Favor On-Demand may update this Agreement from time to time.

Updated versions will be posted on the platform, and continued use of the platform indicates acceptance of the revised terms.
