This Independent Contractor Agreement ("Agreement") governs the relationship between Favor On-Demand LLC ("Favor On-Demand") and individuals who register and use the platform as Helpers. By registering as a Helper and using the Favor On-Demand platform, you acknowledge and agree to the terms of this Agreement and the Favor On-Demand Terms and Conditions.

1. Independent Contractor Relationship

Helpers who offer services through Favor On-Demand are independent contractors and are not employees, agents, partners, representatives, joint venturers, or franchisees of Favor On-Demand. Favor On-Demand is not an employment agency and does not employ individuals to perform services requested through the platform.

2. Independent Business

As a Helper, you represent that you are operating as a sole proprietor, partnership, limited liability company, limited liability partnership, corporation, or other business entity when using the Service, and that you are customarily engaged in an independently established business of the same nature as the services you perform for Requesters through the Service.

3. Control of Work

• You decide whether to accept or decline available tasks
• You determine when and where you are available to provide services
• Favor On-Demand does not supervise, scope, direct, control, or monitor how you perform your work
• Favor On-Demand does not set your work hours or terms of work
• Favor On-Demand does not provide your tools or supplies or pay your work-related expenses
• You remain responsible for the manner and means by which you perform accepted services

4. Qualifications, Licensing, and Legal Compliance

You represent and warrant that you have the unrestricted right to work in the jurisdiction in which you perform services and that you have and will maintain, at your own expense, any licenses, permits, registrations, certifications, or other approvals required by applicable law for the services you provide. You are responsible for complying with applicable local, state, provincial, national, and international laws and with industry standards applicable to your services.

5. Tools, Equipment, and Expenses

Helpers are responsible for providing their own tools, equipment, supplies, transportation, and other resources required to perform services, unless otherwise agreed directly with the Requester. Favor On-Demand does not provide tools or supplies to Helpers and does not pay Helper expenses.

6. Insurance

Helpers are responsible for maintaining, at their own expense, insurance at sufficient levels required to operate their business and perform the services they offer. Insurance may include, where applicable, workers compensation, commercial general liability, professional liability, automobile insurance, cyber insurance, or other coverage appropriate for the services being provided. Helpers agree to provide proof of insurance when requested.

7. Taxes and Withholding

Favor On-Demand is not responsible for workers’ compensation, payroll withholding, unemployment or employment insurance, disability insurance, social security contributions, sales taxes, income taxes, or other taxes arising from a Helper’s use of the Service or performance of services. Helpers assume full and sole responsibility for all required and applicable tax filings, payments, withholdings, and contributions associated with their independent business and services.

8. Compensation and Payments

Payments for services arranged through Favor On-Demand are processed through independent third-party payment processors. Favor On-Demand provides the technology platform that facilitates connections between Requesters and Helpers and is not the provider of the underlying services. Applicable platform or service fees may be deducted or charged as disclosed through the Service.

9. No Guaranteed Work or Earnings

Favor On-Demand does not guarantee any minimum number of tasks, work hours, schedule, earnings, or availability of Requesters. Helpers remain free to accept or decline opportunities offered through the platform.

10. Professional Conduct and Communications

• Act professionally and responsibly when interacting with Requesters
• Communicate clearly and promptly
• Be present and available at the time agreed upon with Requesters
• Only offer and perform services for which you have the necessary expertise
• Perform accepted services in a safe manner
• Keep communications regarding requests, including scoping and payments, on the Favor On-Demand platform before, during, and after the task

11. User and Requester Information

Helpers must respect the privacy, property, and data protection rights of Requesters and other users. Helpers may not record any request or interaction with a user or Favor On-Demand, whether by video, audio, or otherwise, without obtaining the required prior consent.

12. Background Checks and Disclosures

Favor On-Demand conducts background checks on Helpers through third-party providers. Background checks may be incomplete or incorrect and do not guarantee future conduct or constitute an endorsement of any Helper. Helpers agree to promptly disclose to Favor On-Demand in writing any potentially relevant criminal convictions that arise during their use of the Service, other than minor fixed-penalty parking or speeding offenses.

13. No Authority to Bind Favor On-Demand

Helpers do not have authority to act as agents of Favor On-Demand, bind Favor On-Demand to any agreement, make representations on behalf of Favor On-Demand, or modify Favor On-Demand fees.

14. Platform Role

Favor On-Demand is a technology platform that facilitates connections between Requesters and independent Helpers. Favor On-Demand does not perform, supervise, direct, inspect, or guarantee Helper services and does not warrant Helper qualifications, licensing, availability, performance, results, or payment.

15. Indemnification

Helpers agree to indemnify, defend, and hold harmless Favor On-Demand and its affiliates from losses arising from or related to the Helper’s use of the Service, participation in providing services, ability or inability to perform services or receive payment, breach of the Terms of Service, violation of law or third-party rights, content submitted by or about the Helper, or the acts or omissions of the Helper’s assistants.

16. Suspension and Termination

Favor On-Demand may suspend or terminate a Helper’s access to the Service for violations of platform policies, safety concerns, fraud, licensing issues, payment issues, suspected account compromise, illegal conduct, or other conduct inconsistent with Favor On-Demand standards. Helpers may stop using the Service at any time.

17. Governing Terms

This Agreement should be read together with the Favor On-Demand Terms and Conditions and other applicable platform policies. If there is a conflict between this page and the Favor On-Demand Terms and Conditions, the Terms and Conditions control.
